EXHIBIT "F" <br />FORM OF LESSEE'S ESTOPPEL CERTIFICATE <br />The undersigned, as Lessee, under that certain Shopping Center Retail Lease dated , 20, made with <br />RIO VISTA WEST LLC, a California limited liability company, as Lessor, hereby certifies as follows: <br />1. That the undersigned has entered into occupancy of the Premises described in the Lease; <br />2. That the Lease is in full force and effect and has not been assigned, modified, supplemented or amended in any way, <br />except as follows: <br />3. That the Lease represents the entire agreement between the parties as to the leasing of the Premises: <br />4. That the Commencement Date of the Lease is <br />5. That there is an unexpired term under the Lease of <br />years; <br />6. That all conditions of the Lease to be performed by Lessor and necessary to the enforceability of the Lease have <br />been satisfied; <br />7. That there are no defaults by either Lessee or Lessor thereunder; <br />8. That no rents have been prepaid, other than as provided in the Lease; and <br />9. That on this date there are no existing defenses or offsets which the undersigned has against the enforcement of the <br />Lease by Lessor. <br />The undersigned hereby agrees: <br />1. To disclaim all right, title or interest in the Premises except the rights granted by the Lease; and <br />2. To notify the holder of any mortgage affecting the Premises of any default on the part of Lessor which Lessee <br />proposes to cure and deduct from rentals, or use as a basis for cancellation of the Lease and hereby grants to any such holder the <br />option to cure said default within a reasonable length of time. Lessee further agrees not to invoke any of its remedies under the Lease <br />during any period that any such holder is proceeding to cure such default with due diligence, or is taking steps with due diligence to <br />obtain the legal right to enter the Premises and cure the default.
