SELL OR ASSIGN <br />The successful vendor shall not have the right to sell, assign, or transfer any obligations <br />resulting from this proposal without the specific written consent of the City. <br /> <br />8. LOCAL SALES TAX CONSIDERATION <br />In accordance with the Santa Ana Municipal Code, a one percent (1%) preference will be <br />applied to all proposals for taxable goods submitted by suppliers located within the City limits <br />of Santa Ana. <br /> <br />9. RECENING TIME <br />The receiving time in the Administrative Services Division will be the governing time for <br />acceptability of proposals. Telegraphic, telephonic and facsimile proposals will not be <br />accepted. <br /> <br />10. COMPLIANCE WITH LAWS <br />All proposals shall comply with current federal, state, and other laws relative thereto. Vendor <br />further agrees that the services proposed comply with all applicable Federal and State <br />Occupational Safety and Health laws, standards for regnlations, and that vendor will indemnifY <br />and hold the City harmless for any failure to so conform. <br /> <br />II. REFERENCE TO SUCCESSFUL VENDOR <br />The terms vendor, supplier, proposer, or contractor may be used interchangeably in these <br />specifications and shall refer exclusively to the vendor(s) with whom the City enters into <br />contract as a result of this request for proposal. <br /> <br />12. AWARD OF BASE PROPOSAL OR ALTERNATE PROPOSAL <br />The City of Santa Ana reserves the right to award either the base proposal or any alternate <br />proposals offered, whichever is in the best interest of the City. <br /> <br />14. RIGHTS RESERVED <br />The City reserves the right to contract with anv or none of the vendors who submit base <br />proposals and! or alternate proposals. <br /> <br />15. E-MAIL COMMUNICATIONS <br />To facilitate the RFP process, vendors are required to monitor and respond to e-mail requests <br />on a daily basis. <br /> <br />16. EXAMINATION OF SITE AND CONTRACT DOCUMENTS <br />Each bidder shall, at its sole cost and expense, inspect the site and become fully acquainted <br />with the contract documents and conditions affecting the work. The failure of a proposer to <br />receive or examine any of the contract documents or to inspect the site shall not relieve such <br />proposer from any obligation with respect to the proposal, or the work required under the <br />contract documents. The City assumes no responsibility or liability to any proposer for, nor <br />shall the City be bound by, any understandings, representations or agreements of the City's <br />agents, employees or officers concerning the contract documents or the work made prior to <br />execution of the contract which are not in the form of RFP addenda duly issued by the City. <br /> <br />4 <br />
