<br /> <br /> <br /> <br /> <br /> <br /> AGREEMENT FOR PROVISION OF <br /> AUTO PARTS ON CONSIGNMENT BASIS <br /> This Consignment Agreement ("Agreement") is made and entered into this first day of <br /> , 2011, (the "Effective Date") by and between The City of Santa Ana ("City"), with <br /> its principal place of business located at 20 Civic Center Plaza, Santa Ana, CA 92702 and <br /> Orange County Auto Parts, , a California corporation, with its principal place of business located <br /> at 515 E First St., Santa Ana, California, 92701 ("OCAP"). <br /> <br /> WITNESSETH <br /> WHEREAS, the National Joint Powers Alliance (NJPA) issued Request for Proposal #010511- <br /> GPC - "Vehicle Maintenance and Repair With Related Equipment, Supplies and Services", dated <br /> January 5, 2011 (hereinafter "RFP"); <br /> <br /> WHEREAS, Genuine Parts Company, dba NAPA was a successful proposer and was awarded a <br /> contract to supply vehicle equipment, supplies and services pursuant to said RFP, (hereinafter <br /> "NJPA Agreement"); <br /> <br /> WHEREAS, OCAP is the Western Division Jobber of Genuine Parts Company, dba OCAP; <br /> WHEREAS, City desires to retain a contractor having the special skill and knowledge in <br /> supplying vehicle equipment, supplies and services, <br /> <br /> WHEREAS, OCAP is able and willing to provide such vehicle supply services. <br /> <br /> <br /> NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br /> terms and conditions hereinafter set forth, the parties agree as follows: <br /> 1. TERM. <br /> The term of this Agreement shall commence on , and terminate June 30, <br /> 2014, unless terminated earlier in accordance with Section , herein. The term may be extended <br /> for up to three successive one-year terms upon the mutual consent of the parties. <br /> <br /> 2. OCAP RESPONSIBILITIES <br /> <br /> a. OCAP agrees to sell City stocking NAPA-branded products and non-NAPA <br /> branded products (the "Stocking Products.") <br /> • These are specifically defined in Exhibit 1, "Scope of Services," with <br /> pricing as specified in NJPA Agreement. <br /> • Pricing is more specifically defined in Exhibit 2, the NJPA/NAPA <br /> "Pricing Profile Report". <br /> • Exhibit 2a clearly defines line and group codes associated with <br /> NJPA/NAPA pricing. <br /> • Exhibit 3 defines the pricing schedule for buyouts and outsourced <br /> products/serv ices <br /> • all attached hereto and incorporated by reference. <br /> <br /> <br /> <br /> <br /> 25D-3 <br />
